1. Acceptance of Terms

By accessing or using Portalize ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including agencies ("Customers") who create portals and their clients ("End Users") who access those portals.

2. Description of Service

Portalize is a SaaS platform that enables agencies to create branded client portals powered by Notion. The Service allows:

  • Agencies to create and manage client portals
  • Integration with Notion workspaces for data synchronization
  • Client access to projects, tasks, and documents
  • Email notifications for updates
  • Subscription-based billing

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Immediately notify us of any unauthorized access

3.2 Account Responsibilities

You are responsible for all activities that occur under your account. You agree not to share your account credentials with any third party.

4. Subscription and Billing

4.1 Free Trial

We offer a 14-day free trial for new customers. No credit card is required to start your trial. At the end of the trial period, you must subscribe to continue using the Service.

4.2 Subscription Plans

Subscriptions are billed monthly or annually in advance. You agree to pay all fees according to your selected plan. All fees are non-refundable except as required by law.

4.3 Payment Processing

Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees. You are responsible for keeping your payment information current.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial months.

5. Data and Content

5.1 Your Data

You retain all rights to the data you upload to the Service, including Notion workspace data. You grant us a limited license to use your data solely to provide the Service.

5.2 Third-Party Integrations

The Service integrates with Notion. You are responsible for:

  • Maintaining your Notion account and credentials
  • Ensuring you have the rights to share Notion data through the Service
  • Complying with Notion's terms of service

5.3 Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure. You use the Service at your own risk.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or obscure any proprietary notices
  • Resell or redistribute the Service without authorization

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by Portalize and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. We may suspend or terminate the Service for maintenance, updates, or other reasons without notice.

We reserve the right to modify, suspend, or discontinue the Service at any time without liability.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements or that it will be uninterrupted, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTALIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Portalize from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • At our sole discretion for any reason

Upon termination, your right to use the Service will cease immediately. You remain responsible for all fees accrued before termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law
